The Financial Sector Reform Activity (FSR) in Ukraine is a five-year program funded by the United States Agency for International Development (USAID) and managed by DAI Global LLC (DAI). The purpose of the activity is to transform the country’s financial sector into a sophisticated, well-functioning, competitive market that is aligned with European Union (EU) standards and integrated into international financial systems. This transformation will mobilize private finance for sustained economic growth in Ukraine.
The FSR is looking for candidates to fill in the Investment Funds Ukrainian Legal Expert consultant position.
PURPOSE OF THE ROLE:
The National Security and Stock Market Commission (NSSMC) requested USAID FSR to assist with finalizing the preparation of the draft law on investment funds (Draft Law).
The Draft Law is aimed at the implementation of key EU acts on the matter. The aim of the consultancy is to provide assistance to the NSSMC with further development of the Draft Law via accomplishing the following goals:
- implementing provisions of the EU Acquis into text of the Draft Law;
- preparing final version of the Draft Law and the supportive documents (such as a comparative table, an explanatory note, a submission note) for the registration with the Verkhovna Rada of Ukraine (Parliament).
OBJECTIVES AND DUTIES:
The Consultant will perform the following tasks:
- Advice on implementation of investment funds framework including acts of the first and second level, among others:
- Directive 2009/65/EC of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations and administrative provisions relating to undertakings for collective investment in transferable securities;
- Directive 2011/61/EU of the European Parliament and of the Council of 8 June 2011 on Alternative Investment Fund Managers and amending Directives 2003/41/EC and 2009/65/EC and Regulations (EC) No 1060/2009 and (EU) No 1095/2010;
- Regulation (EU) No 345/2013 of the European Parliament and of the Council of 17 April 2013 on European venture capital funds;
- Regulation (EU) No 346/2013 of the European Parliament and of the Council of 17 April 2013 on European social entrepreneurship funds;
- Regulation (EU) 2015/760 of the European Parliament and of the Council of 29 April 2015 on European long-term investment funds;
- Regulation (EU) 2017/1131 of the European Parliament and of the Council of 14 June 2017 on money market funds (“Investment Funds EU Acquis”) in Ukrainian legislation.
- Prepare draft law of Ukraine regulating investment funds activities based on the Investment Funds EU Acquis.
- Negotiation of the developed draft law with the regulator and relevant stakeholders involved by the regulator.
- Amending the draft law following negotiations with stakeholders to the extent required.
- Preparation of the supporting documents necessary for the submission of the draft law to the Parliament of Ukraine (e., a comparative table, an explanatory note, a submission note).
QUALIFICATIONS:
- Higher educational degree in Law, Masters or advanced degree (Ph.D.) is a preference.
- At least 15 years of experience in the legal sphere related to Ukrainian capital markets instruments and infrastructure.
- Experience in drafting Ukrainian legislative acts and/or amendments to Ukrainian legislative acts.
- Proficient with Microsoft Office Suite and other tools used to conduct and communicate research and projects.
- Fluency in Ukrainian (at least advanced level).
- Excellent written and oral communication skills.
